TERMS OF SERVICE

1. AGREEMENT TO TERMS

By accessing, browsing, and/or using American GED Online Center's website, mobile application, and educational services (the "Service"), you ("User," "Student," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Agreement") and our Privacy Policy. If you do not agree to these terms, you must not use our Service.

These Terms constitute a binding legal contract between you and American GED Online Center ("Company," "we," "us," "our").

2. ELIGIBILITY & USER ACCOUNTS

2.1 Age & Capacity

By using our Service, you represent and warrant that:

  • You are at least 18 years old, or if between 13–17 years old, you have obtained parental or guardian consent to use the Service
  • You have the legal capacity to enter into this Agreement
  • You are not prohibited from using the Service under applicable laws or regulations
  • All information you provide during registration is true, accurate, and current

2.2 Account Registration

To access most features of our Service, you must create a student account by providing:

  • Full legal name
  • Valid email address
  • Password (your choice)
  • Date of birth and state of residence
  • Payment information (for course purchases)

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activity that occurs under your account
  • Notifying us immediately if you suspect unauthorized access (Refunds@americangedonlinecenter.com)

We are not liable for unauthorized access if you fail to protect your password.

2.3 Account Accuracy

You agree to keep your account information current and accurate. If your information changes (name, address, email), update it in your account settings or contact Refunds@americangedonlinecenter.com. We reserve the right to suspend accounts with inaccurate or fraudulent information.

2.4 Single Use Per Person

Each individual may maintain only one active account. Duplicate accounts, shared logins, or account farming will result in immediate suspension without refund. This protects the integrity of our assessments and analytics.

3. PAYMENT, PRICING & BILLING

3.1 Pricing & Charges

The current price for our GED Preparation Course is $380.00 USD. Prices are subject to change without notice, but any change will not affect orders already placed.

3.2 Payment Processing

  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
  • Payment, billing, currency, tax, invoicing, cancellation, and refund mechanics for your order are additionally governed by the Paddle Buyer Terms.
  • All payments are processed securely by Paddle; we do not store your full credit card information. Payment details are encrypted and handled solely by Paddle.
  • By submitting payment, you authorize us to charge the stated amount
  • A receipt will be sent to your registered email address within 1 hour of purchase

3.3 Tax Responsibility

As Merchant of Record, Paddle calculates, collects, and remits any applicable sales tax, VAT, or GST on your order based on your location, and issues the invoice for your purchase.

3.4 Billing Issues & Disputes

If you notice an unauthorized charge, duplicate charge, or billing error:

  1. Contact Paddle first at paddle.net, or contact us at Refunds@americangedonlinecenter.com, within 30 days of the charge
  2. Provide your order ID, transaction date, and description of the issue
  3. We will investigate and resolve within 10 business days

Do not initiate a chargeback without contacting us first (see Section 3.5).

3.5 Chargebacks

If you dispute a charge through your bank or payment processor without first contacting us, you agree that:

  • We may pursue a chargeback reversal with documentation of your access and use
  • You are liable for any chargeback fees imposed by your bank (typically $15–$100)
  • Your account may be permanently suspended

3.6 Refunds

Refunds are governed by our separate Refund Policy, which is incorporated into this Agreement, and are handled by Paddle as Merchant of Record. Review our Refund Policy for eligibility, timeframes, and procedures. We offer a 30-day money-back guarantee from the date of purchase.

3.7 No Refund for Lost or Delayed Login Credentials

If you forget your password or lose access to your account, password recovery is available at no cost via the "Forgot Password" link on our login page. If you are locked out due to suspicious activity, contact Refunds@americangedonlinecenter.com. Refunds are not issued for login difficulties.

4. LICENSE GRANT & INTELLECTUAL PROPERTY

4.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service for personal educational purposes only. You may not:

  • Reproduce, modify, or create derivative works of any course content
  • Distribute, sell, lease, or sublicense course materials
  • Use our Service for commercial purposes (tutoring others for payment, reselling access, etc.)
  • Remove or alter copyright, trademark, or proprietary notices
  • Use automated tools (bots, scrapers, API access) to extract content without written permission
  • Reverse-engineer or attempt to derive our algorithms, assessment logic, or source code

4.2 Our Intellectual Property

All course materials, lesson plans, practice tests, video content, graphics, and interactive features are the exclusive intellectual property of American GED Online Center or our licensors. They are protected by U.S. copyright law, trademark law, and other intellectual property rights.

Unauthorized reproduction or distribution is prohibited and may subject you to civil and criminal liability.

4.3 Your Submissions

Any questions, comments, feedback, or suggestions you submit to us regarding our Service may be used by us for any purpose without compensation or credit. By submitting content, you grant us a perpetual, royalty-free license to use it.

4.4 Third-Party Content

Our Service may include content from third parties (GED.com data, state education resources, public domain materials). Use of such content is governed by the applicable third-party license or public domain rules.

5. ACCEPTABLE USE POLICY

5.1 Prohibited Conduct

You agree not to use our Service to:

Illegal Activity

  • Violate any federal, state, or local law, regulation, or ordinance
  • Facilitate fraud, forgery, or identity theft
  • Engage in hacking, unauthorized access, or computer crimes

Cheating & Academic Dishonesty

  • Use our practice tests or assessment tools with the intent to cheat on the official GED exam
  • Share your account login with others to allow them to pose as you on practice tests
  • Use our Service to falsify credentials or educational records
  • Hire someone else to take a practice test under your name
  • Collaborate on timed assessments when instructed to work independently

Harassment & Threatening Conduct

  • Harass, threaten, bully, or abuse other users, instructors, or support staff
  • Send unsolicited commercial messages or spam
  • Impersonate another person or entity

Malware & System Interference

  • Upload viruses, malware, ransomware, or other harmful code
  • Attempt to disrupt or degrade the Service's performance
  • Conduct denial-of-service (DDoS) attacks or other cyberattacks
  • Exploit security vulnerabilities (though we welcome responsible disclosure)

Misinformation

  • Post false or misleading information about GED eligibility, exam procedures, or test content
  • Spread conspiracy theories or disproven claims about education or testing

5.2 Consequences of Violation

If you violate this Acceptable Use Policy, we may, at our sole discretion:

  • Warn you with a notice of violation
  • Restrict access to certain features
  • Suspend your account temporarily
  • Terminate your account permanently without refund
  • Pursue legal action if the violation involves criminal conduct, intellectual property theft, or significant harm

Suspension or termination decisions are made in our sole discretion and are not subject to appeal, though we will notify you of the reason.

6. SERVICE DELIVERY & LIMITATIONS

6.1 Access & Technical Requirements

Our Service requires:

  • A modern web browser (Chrome, Firefox, Safari, Edge, latest 2 versions)
  • A stable internet connection (broadband recommended)
  • JavaScript enabled
  • Cookies enabled

We are not responsible for technical problems caused by:

  • Your internet service provider's outages or slowness
  • Outdated or unsupported browsers
  • Your computer's hardware or software incompatibility
  • Third-party software conflicts (antivirus, firewalls, adblockers)

If you experience access problems, contact Refunds@americangedonlinecenter.com with details of your device, browser, and error message.

6.2 Course Completion Timeline

  • Our GED Preparation Course is designed for self-paced study with an estimated completion time of 4–8 weeks (varies by individual)
  • You must complete all module lessons, practice tests, and final assessments to earn a Certificate of Completion
  • A Certificate of Completion does not guarantee passing the official GED exam; it certifies that you completed our course
  • The Certificate is issued only to those who complete 100% of assigned materials and pass all assessments

6.3 Practice Test Scores & Assessment Accuracy

  • Our practice tests are simulations designed to resemble the official GED exam in format and difficulty
  • Practice test scores are not official GED scores and are provided for educational feedback only
  • Our practice scores are not guaranteed to predict your official GED exam score
  • Individual performance varies; score improvements depend on your effort, study habits, and prior knowledge
  • We make no guarantees about passing the official GED exam after completing our course

6.4 Service Availability

We aim to provide 24/7 access to our Service, but we do not guarantee 100% uptime. We may be offline for:

  • Scheduled maintenance (we aim to schedule this outside peak hours; notice will be provided via email when possible)
  • Emergency security patches
  • Infrastructure upgrades
  • Events beyond our reasonable control (natural disasters, pandemics, internet backbone failures)

If the Service is unavailable for more than 48 consecutive hours due to our negligence, you may request:

  • A course extension of equal duration, or
  • A pro-rata refund for the outage period

6.5 Content Updates & Changes

  • We reserve the right to update, modify, or discontinue course content at any time
  • Updates are typically made to reflect changes in GED exam content, state regulations, or educational best practices
  • If we discontinue a course entirely, we will:
    • Provide 30 days' advance notice to all active users
    • Offer a full refund or free enrollment in a replacement course
    • Preserve your progress data for 90 days upon request

6.6 Third-Party Integrations

Our Service may integrate with third-party platforms (Google Workspace, email providers, calendar apps). Use of those integrations is governed by their respective terms. We are not responsible for third-party service failures or data breaches outside our control.

7. NO WARRANTIES & LIMITATION OF LIABILITY

7.1 Disclaimer of Warranties

OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES.

We specifically disclaim any warranty of:

  • Merchantability: That our Service is fit for sale or general commercial use
  • Fitness for a particular purpose: That our Service will meet your specific educational goals or exam-prep needs
  • Non-infringement: That the course materials don't violate third-party intellectual property rights
  • Accuracy: That all information, including practice test content, is 100% accurate or up-to-date
  • Availability: That the Service will be uninterrupted or error-free
  • Exam results: That completing our course guarantees you will pass the official GED exam

We make no warranty that our Service will improve your GED exam score or guarantee exam success.

7.2 Assumption of Risk

Your use of our Service is at your own risk. You assume all responsibility for:

  • Any loss of data or work-in-progress materials
  • Any technical or privacy issues arising from your device or internet connection
  • Your exam performance and official GED results
  • Any consequences of relying on our course content in place of official GED.com resources

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, we shall not be liable for:

Direct Damages

  • Any direct damages, losses, or costs arising from your use of our Service
  • Refund requests beyond those specified in our Refund Policy
  • Lost or corrupted student data (we maintain backups, but you may also download your progress reports)

Indirect or Consequential Damages

  • Lost wages, lost exam registration fees, lost business opportunities
  • Emotional distress or psychological harm
  • Consequential, incidental, special, or punitive damages
  • Damages for lost profits, lost revenue, or lost goodwill
  • Even if we have been advised of the possibility of such damages

Maximum Liability Cap

  • Our total liability to you shall not exceed the amount you paid for the Service ($380.00 or the refund amount actually issued).
  • This cap applies to all claims, whether in contract, tort, negligence, strict liability, or otherwise

7.4 Exceptions

These liability limitations do not apply to:

  • Our gross negligence or willful misconduct
  • Claims that cannot be limited or excluded under applicable law
  • Your liability for intellectual property infringement or breach of Section 4

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless American GED Online Center, its owners, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your violation of this Agreement or applicable law
  • Your use of the Service in a manner that harms others (cheating on the official GED, harassing other users, etc.)
  • Your infringement of any third-party intellectual property rights
  • Any content you submit or actions you take via the Service

You will defend us against any third-party claims and pay all judgment amounts or settlement costs.

9. DISPUTE RESOLUTION & GOVERNING LAW

9.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

9.2 Exclusive Jurisdiction & Venue

Both you and we agree that:

  • All disputes must be brought exclusively in the state or federal courts located in New York County, New York
  • You waive any objection to venue or claim of inconvenience in those courts
  • You waive the right to trial by jury (except where prohibited by law)
  • You waive any right to a class action or class arbitration

9.3 Informal Resolution

Before pursuing formal legal action, you agree to attempt good-faith resolution:

  1. Email Refunds@americangedonlinecenter.com with a detailed description of the dispute and your requested resolution
  2. We will respond within 10 business days with our proposed resolution
  3. If we do not reach agreement within 30 days, either party may pursue legal action

9.4 Statute of Limitations

Any legal action or claim relating to our Service must be initiated within one (1) year of the cause of action arising, or it will be barred.

10. TERMINATION

10.1 Termination by You

You may terminate this Agreement and your account at any time by:

  1. Emailing Refunds@americangedonlinecenter.com with the subject "Account Termination Request"
  2. Confirming your intent to permanently delete your account and associated data
  3. Understanding that termination is permanent and non-reversible

Upon termination, you forfeit access to all course materials and saved progress. Refunds are governed by our Refund Policy.

10.2 Termination by Us

We may terminate your account and access to the Service immediately, without refund, if:

  • You violate the Acceptable Use Policy (Section 5)
  • You engage in fraudulent activity, cheating, or misrepresentation
  • Your account is linked to chargebacks or payment disputes
  • We determine, in our sole discretion, that your presence on our platform poses a risk to other users
  • You are in material breach of this Agreement and fail to cure within 10 days of written notice

10.3 Effect of Termination

Upon termination:

  • Your account, login credentials, and all access to the Service are immediately revoked
  • We may delete your personal data after 30 days (retained per privacy law requirements thereafter)
  • Sections that survive termination include IP indemnification, limitation of liability, and dispute resolution

11. PRIVACY & DATA PROTECTION

Your use of personal information is governed by our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of personal information as described in that policy. Please review it carefully.

Key points:

  • We collect your name, email, payment info, and learning progress data
  • We use this data to deliver the Service, improve our curriculum, and process refunds
  • We do not sell your personal information to third parties
  • We use cookies for authentication, analytics, and user experience
  • You have rights to access, correct, and delete your data (see Privacy Policy Section 5)

12. EXPORT COMPLIANCE

Our Service is subject to U.S. export control laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). By using our Service, you certify that:

  • You are not located in, and do not provide access to our Service to anyone in, any U.S.-embargoed country (Cuba, North Korea, Syria, Iran, etc.)
  • You are not on any U.S. government sanctioned-persons list (OFAC)
  • You will not use our Service for any prohibited end-use (nuclear, chemical, biological weapons)

13. ACCESSIBILITY

We are committed to making our Service accessible to users with disabilities. If you encounter accessibility barriers, please contact Refunds@americangedonlinecenter.com with details, and we will work to provide an accommodation or alternative format (transcripts for videos, alternative text for images, etc.).

We comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards to the extent feasible.

14. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect. To the extent permitted, the court may modify the invalid provision to make it enforceable while preserving the parties' intent.

15. ENTIRE AGREEMENT

This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and us regarding your use of the Service. It supersedes all prior negotiations, agreements, and understandings. No waiver of any term is effective unless in writing and signed by an authorized representative of American GED Online Center.

16. AMENDMENTS

We may modify this Agreement at any time by posting an updated version on our website with a new "Last Updated" date. Your continued use of the Service after any modification constitutes your acceptance of the revised terms. We will notify you of material changes via email if they substantially alter your rights or obligations.
